1. General Work Terms & Client Responsibilities

• All project-related content, including text, images, and multimedia, must be provided by the Client prior to project commencement.
• Clients are solely responsible for backing up any existing data before Cubet begins work. Cubet will not be liable for any loss or damage to pre-existing content.
• Unless specifically stated in the agreement, our services do not include data entry, hosting, or the creation of custom artwork.
• All visuals, designs, or materials created by Cubet remain the intellectual property of Cubet and/or our suppliers unless explicitly transferred through a written agreement.
• Project timelines are estimated based on current information and may be affected by third-party dependencies, deployment constraints, resource unavailability, or communication delays.
• The Client will have opportunities to review deliverables during and after development. If no feedback is received within seven (7) days, the deliverables will be deemed approved.
• The Client is responsible for securing all necessary licenses and permissions for third-party content used within their project and agrees to indemnify Cubet against any related claims.
• Cubet is not responsible for any issues arising from changes made by the Client or third parties after deployment. Remediation of such issues may incur additional costs.

2. Payments

• Payments must be made via bank transfer unless otherwise agreed. Cubet reserves the right to modify accepted payment methods or pricing without prior notice.
• In the event of project cancellation, the Client will be invoiced for all work completed and costs incurred up to the cancellation date.
• Failure to make timely payment may result in suspension of services, withholding of deliverables, or legal action for recovery.

3. Rework, Add-ons & Change Requests

• Any features, functionality, or deliverables not included in the original scope will follow a Change Management Process and be subject to additional charges.
• Once a project phase has been approved and development progresses, any subsequent revisions or rework will be billed as additional tasks.
• All payments must be made in full and without deductions unless explicitly agreed in writing.

4. Limitation of Liability

• Cubet will exercise reasonable skill, care, and diligence in delivering its services. However, we do not warrant that services or the Website will be uninterrupted or error-free.
• Cubet shall not be held liable for any loss, damage, or delay arising from the use of the Website or our services, except in cases of death or personal injury caused by proven negligence.
• Cubet is not responsible for the performance, reliability, or availability of third-party services or platforms integrated with our solutions.

5. Approvals, Delivery & Ownership

• Each project phase requires formal approval before moving to the next stage. Timelines commence upon receipt of the agreed initial payment (30–50%) and all necessary project materials.
• The project will be deployed to the live environment only after full payment has been received and final approval is granted.
• Upon completion and settlement of all dues, ownership of the final code and deliverables will transfer to the Client.
• Cubet reserves the right to display completed work, including visuals and brief descriptions, as part of its portfolio. If confidentiality is required, it must be explicitly requested and agreed upon in writing.

6. Timescales

• Project schedules are dependent on timely feedback, approvals, and content delivery from the Client.
• While we make every effort to meet agreed timelines, external factors or delays beyond our control may necessitate adjustments.
• Any required extensions will be communicated promptly.

7. Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in Kerala, India.

8. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision will be replaced with a legally enforceable one that most closely reflects the original intent.
